Within BOURBON, Management Control function covers the entire process of breaking the Group’s strategic

guidelines down into operational action plans and objectives, for ultimately monitoring the results achieved

together with the budget delivery and challenges the management in the execution of the budget.

Under COMEX leadership and reporting to the Vice President Controller, Corporate Management Control is

responsible for establishing a network of processes with the objective of controlling the operations of

BOURBON in a manner which provides the COMEX with reasonable assurance that:

1. Management data, information and Key Performance Indicators (KPI) published either internally or

externally are accurate, reliable, and timely. Quality and punctuality of the reporting is a joint

responsibility of the General Manager and the Finance Manager of each Affiliate. COMEX gives full

authority to Corporate Management Control to initiate any audit of any BOURBON’s databases,

when necessary.

2. The actions of managers and employees are compliant with the Organization’s policies, guidelines,

standards, plans, procedures, and all relevant laws and regulations.

3. The Organization’s resources (including people, systems and data/information bases) and assets

are adequately protected.

4. Resources are acquired economically and employed profitably; quality business processes and

continuous improvement are emphasized.

5. The Organization’s plans, programs, goals, and objectives are achieved.

The Internal Audit department and the Quality department

shall

analyze the compliance of BOURBON’s

organization with these points on a systematic and methodical approach.

Furthermore, Corporate Management Control defines reporting processes and requirements within the group

through guidelines and procedures.

Local Management Control is a function of management and is an integral part of the overall process of

managing operations. As such, it is the responsibility of managers at all levels of the Organization to:

x

Establish practical controlling processes, in compliance with group standards, issued by the

Corporate Management Control, that require and encourage managers and employees to carry out

their duties and responsibilities in a manner that achieves the five Management Control objectives

outlined in the preceding paragraph.

x

Maintain the effectiveness of the controlling processes they have established and foster continuous

improvement to these processes.
