ANNUAL REPORT 2025

Taking into account the above factors, a negative cost of risk of €4.2 million and corporation tax of €11.5 million, net profit for 2025 was €49.8 million, down 16.1% on 2024. Wealth under custody as at 31 December 2025 was up 6% compared with 31 December 2024; this increase is attributable to strong inflows, supplemented by positive market and foreignexchange effects. Loans and advances to customers rose by +1.3% compared with the previous year, against a backdrop of slower interest rate rises. Amounts owed to customers total €5,812.2 million, representing an increase of 6.3% compared with 31 December 2024. APPROVAL OF THE UNCONSOLIDATED FINANCIAL STATEMENTS (RESOLUTION NOS. 2 AND 4) Presentation of the 2025 unconsolidated/individual financial statements of Banque CFM Indosuez Wealth (French GAAP) The balance sheet total stood at €7,226 million as at 31 December 2025, up 3% compared with 31 December 2024. On the assets side, loans granted to customers amounted to €3,598 million, an increase of 1.2% over the 2025 financial year. The volume of securities in the portfolio and central bank deposits ensure the overall liquidity coverage ratio (LCR) is observed. Loans and receivables from credit institutions rose to €2,610 million. On the liabilities side, shareholders' equity was €409 million, excluding €4.5 million in funds for general banking risks. The change in equity between December 2024 and December 2025 (an increase of €3.9 million) is due to the increase in retained earnings following the allocation of the 2024 profit, partially offset by the decrease in profit for the year. Net banking income, down 5.7% compared with the 2024 financial year, stood at €183 million and reflects strong sales momentum despite the net negative impact of interest rates on our interest margins. Operating expenses rose by 2.9% compared with the previous financial year, mainly due to inflation and preparations for the acquisition of BNP Paribas. Excluding the costs associated with this project, the increase remains limited to 1.6%. The Statutory Auditors' fees for the 2025 financial year amounted to €153k excluding VAT, broken down as follows (Resolution 4): • €92k excl. VAT to the firm Vanhal • €60k excl. VAT to the firm Brych At its meeting on 10 March 2026, the Board of Directors of CFM Indosuez Wealth, chaired by Benoît Fayol, approved the consolidated financial statements for the financial year 2025, prepared in accordance with IFRS international accounting rules and principles. The consolidation of the accounts includes the three entities of the CFM Indosuez Wealth group, including the French subsidiary wholly owned by CFM Indosuez Wealth (called CFM Indosuez Conseil en Investissement) and CFM Indosuez Gestion, which allows a global view of the activities and results of the CFM Indosuez Wealth group. APPROVAL OF THE CONSOLIDATED FINANCIAL STATEMENTS (RESOLUTION NO. 1 ) Consolidated results (in € million) 2025 versus 2024 under IFRS (in € million) Financial year 2025 Financial year 2024 Variation in % Net banking income 190.5 199.4 -4.5% Operating expenses -124.9 -122.3 +2.1% Gross operating income 65.6 77.1 -14.9% Cost of risk -4.2 -3.0 N/A Extraordinary items - - N/A Tax on profits -11.5 -14.8 -22.1% CFM Indosuez Wealth Group net income 49.8 59.4 -16.1% Non-controlling interests - - - Net income Group share CFM Indosuez Wealth 49.8 59.4 -16.1% The consolidated revenue of the CFM Indosuez Wealth Management group for the year 2025 stands at €190.5 million, down 4.5% on 2024. The upturn in transaction volumes towards the end of the year helped to partially offset the sharp decline in net interest income, which was driven by a more pronounced fall in interest rates in 2025 than in 2024. The CFM Indosuez Wealth Management Group's operating expenses rose to €124.9 million in 2025. The rise in costs is mainly attributable to inflation and the preparations for the acquisition with BNP Paribas, which account for the increase in our expenses compared to the previous year (up 2.1%). Excluding the costs associated with this project, the increase remains below 1%. Gross operating income was therefore €65.6 million in 2025, compared with €77.1 million as at 31 December 2024.
